The FAADL Board will meet on January 20th, 7:00 pm at Acton/Agua Dulce Library for the first Board Meeting of 2015. On the agenda is a revision to the by-laws which is included in this email. Please review the changes and if you have any questions or concerns please attend the meeting. The current full version of FAADL by-laws can be read on this website - just click on the Home tab for the drop down. Here are the proposed changes:
ARTICLE V: MEETINGS
Section 3: A majority of the Board,
four (4) five (5) members, shall constitute a quorum for the transaction of business and voting.
ARTICLE IV: OFFICERS AND COMMITTEES
Section 1: The Board of Directors, hereinafter referred to as “Board” shall consist of
four five Executive Officers, three Directors at Large and the Immediate Past President in a non-voting advisory position. The Board shall serve as the governing body of this corporation.
Section 2: The Executive Officers shall be President, Vice President, Secretary, Treasurer and Board Advisor.
Section 3: The duties of the Executive Officers shall be as follows:
e. Board Advisor – Position is held by any individual who held an executive position in the past and serves to advise the Board on all issues and events.
Section 5: The Immediate Past President will act in an advisory capacity and will have no voting power as Board Member.
Section 6. The President, subject to Board approval, may appoint Special Committees.
Section 8 Three (3) consecutive regular Board meeting absences by Directors at Large without reasonable cause or notification to the Board of Directors shall be considered a resignation.
Section 9. An unexpired term of an Officer or Director may be filled by appointment from the Board of Directors.
Section 10. The term of office for the Board shall be
one two years beginning immediately at the conclusion of the Annual Meeting. No Board member may hold the same office for more than two consecutive terms.
Section 11 Each retiring Board member, immediately after the election, shall turn over to his/her successor all properties and records relating to that office.
